AGREEMENT BETWEEN USER AND SLYCE DESIGN
The Slyce Design Web Site is comprised of various Web pages operated by Slyce Design. The Slyce Design Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Slyce Design Web Site constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE
Slyce Design reserves the right to change the terms, conditions, and notices under which the Slyce Design Web Site is offered, including but not limited to the charges associated with the use of the Slyce Design Web Site.

ACCOUNT SETUP/E-MAIL ON FILE
We will setup your account after we have received payment and we and/or our payment partner(s) have screened the order(s) in case of fraud. It is your responsibility to provide us with an email address which is not @ the domain(s) you are signing up under. If there is ever an abuse issue or we need to contact you, the primary email address on file will be used for this purpose. It is your responsibility to ensure the email address on file is current or up to date at all times. Providing false contact information of any kind may result in the termination of your account. If you fail to meet these requirements, the order may be considered fraudulent in nature and be denied.

TRANSFERS
Our transfers team will make every effort to help you move your site to us, however, we can not make guarantees of the transfer process. We provide this as a courtesy service and can not make guarantees regarding its availability or the amount of time it may take as each host is configured a little differently. We will try our best, however, in some cases we may be unable to assist you in a transfer of data from an old host.

CONETNT
All services provided by Slyce Design may only be used for lawful purposes. The laws of the State of Florida, the State of Texas, and the United States of America apply as do those of The Republic of South Africa.

The customer agrees to indemnify and hold harmless Slyce Design from any claims resulting from the use of our services.

Use of our services to infringe upon any copyright or trademark is prohibited. This includes but is not limited to unauthorized copying of music, books, photographs, or any other copyrighted work. The offer of sale of any counterfeit merchandise of a trademark holder will result in the immediate termination of your account. If you believe that your copyright or trademark is being infringed upon, please email us with the information required. If the request is of a licensing issue, we may require further documentation.
Examples of unacceptable material on all Shared, Reseller and Dedicated Servers include:
IRC Bots, Proxy Scripts / Anonymizers, Pirated Software / Warez, image, filedump, or banner-ad services (similar to rapidshare, photobucket, or commercial banner ad rotation), topsites, commercial audio streaming (more than one or two streams), Escrow, High-Yield Interest Programs(HYIP) or related sites, Investment sites (FOREX, egold exchange), sale of any controlled substance without prior proof of appropriate permit(s), AutoSurf sites, Bank Debentures, Bank Debenture Trading Programs, Prime Banks Programs, lottery sites, muds / rpg's, hate sites, hacker focused sites/archives/programs, or sites promoting illegal activities, IP Scanners, Brute Force Programs, Mail Bombers and Spam Scripts. Forums and or websites that distribute or link to warez content is prohibited.


LINKS TO THIRD PARTY SITES
The Slyce Design Web Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of Slyce Design and Slyce Design is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Slyce Design is not responsible for webcasting or any other form of transmission received from any Linked Site. Slyce Design is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Slyce Design of the site or any association with its operators.

NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of the Slyce Design Web Site, you warrant to Slyce Design that you will not use the Slyce Design Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Slyce Design Web Site in any manner which could damage, disable, overburden, or impair the Slyce Design Web Site or interfere with any other party's use and enjoyment of the Slyce Design Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Slyce Design Web Sites.

ZERO TOLERANCE SPAM POLICY
We take a zero tolerance stance against sending of unsolicited e-mail, bulk emailing, and spam. "Safe lists" and "double opt-in" will be treated as spam. Any user who sends out spam will have their account terminated with or without notice.

Sites advertised via SPAM (Spamvertised) may not be hosted on our servers. This provision includes, but is not limited to SPAM sent via fax, email, instant messaging, or usenet/newsgroups. No organization or entity listed in the ROKSO may be hosted on our servers. Any account which results in our IP space being blacklisted will be immediately suspended and/or terminated.

Slyce Design reserves the right to require changes or disable as necessary any web site, account, database, or other component that does not comply with its established policies, or to make any such modifications in an emergency at its sole discretion.

Slyce Design reserves the right to charge the holder of the account used to send any unsolicited e-mail a clean up fee. This cost of the clean up fee is entirely at the discretion of Slyce Design.

PAYMENT INFORMATION
You agree to supply appropriate payment for the services received from Slyce Design, in advance of the time period during which such services are provided. You agree that until and unless you notify Slyce Design of your desire to cancel any or all services received, those services will be billed on a recurring basis.

Cancellations must be done in writing via e-mail ( This e-mail address is being protected from spambots. You need JavaScript enabled to view it ) or the contact form on the Slyce Design Website. Once we receive your cancellation and have confirmed all necessary information with you via e-mail, we will inform you that your account has been canceled. At this time, your account with us has been canceled. If you do not hear back from us or receive an e-mail confirming this cancellation, please contact us immediately as this means your account has not yet been cancelled.

As a client of Slyce Design, it is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. Slyce Design provides a 30 day grace period from the time the invoice is due and when it must be paid. Any invoice that is overdue for 30 days and not paid will result in a possible late fee and/or an account suspension until account balance has been paid in full.

Slyce Design reserves the right to change the monthly payment amount and any other charges at any time.

BACKUPS AND DATA LOSS
Your use of the service is at your sole risk. Slyce Design is not responsible for files and/or data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on Slyce Design servers.

PRICE CHANGE
We reserve the right to change prices listed on our web site and those charged to clients for services at any time, and the right to increase the amount of resources given to plans at any time.

USE OF COMMUNICATION SERVICES
The Slyce Design Web Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

• Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.


• Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.


• Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.


• Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.


• Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.


• Conduct or forward surveys, contests, pyramid schemes or chain letters.


• Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.


• Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.


• Restrict or inhibit any other user from using and enjoying the Communication Services.


• Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.


• Harvest or otherwise collect information about others, including e-mail addresses, without their consent.


• Violate any applicable laws or regulations.

Slyce Design has no obligation to monitor the Communication Services. However, Slyce Design reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Slyce Design reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Slyce Design reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Slyce Design's sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Slyce Design does not control or endorse the content, messages or information found in any Communication Service and, therefore, Slyce Design specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Slyce Design spokespersons, and their views do not necessarily reflect those of Slyce Design.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

MATERIALS PROVIDED TO SLYCE DESIGN OR POSTED AT ANY SLYCE DESIGN WEB SITE
Slyce Design does not claim ownership of the materials you provide to Slyce Design (including feedback and suggestions) or post, upload, input or submit to any Slyce Design Web Site or its associated services (collectively "Submissions"). By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SLYCE DESIGN WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. SLYCE DESIGN AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THESLYCE DESIGN WEB SITE AT ANY TIME. TERMINATION/ACCESS RESTRICTION
Slyce Design reserves the right, in its sole discretion, to terminate your access to the Slyce Design Web Site and the related services or any portion thereof at any time, without notice. GENERAL To the maximum extent permitted by law, this agreement is governed by the laws of the State of Washington, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in King County, Washington, U.S.A. in all disputes arising out of or relating to the use of the Slyce Design Web Site. Use of the Slyce Design Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Slyce Design as a result of this agreement or use of the Slyce Design Web Site. Slyce Design's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Slyce Design's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Slyce Design Web Site or information provided to or gathered by Slyce Design with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Slyce Design with respect to the Slyce Design Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Slyce Design with respect to the Slyce Design Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement under United States copyright law should be sent to Service Provider's Designated Agent.
